Sale Terms and Conditions

1. LDS Hire & Sales conditions apply-

Unless otherwise specifically agreed in writing by LDS Hire & Sales Ltd, all quotations and contracts for the supply of goods by LDS Hire & Sales Ltd . are made upon these conditions of sale/rental (LDS Hire & Sales Ltd ) which shall at all times override the terms and conditions which the purchaser of such goods (“the purchaser”) imposes or seeks to impose. Delivery of any goods following a quotation for supply made by LDS Hire & Sales Ltd will be made only upon LDS Hire & Sales Ltd conditions. Orders are accepted subject to the company’s condition of sale.

2. Payment Terms –

Payment terms are strictly 30 days from date of invoice. LDS Hire & Sales Ltd shall be entitled without notice to the purchaser (even if the purchaser has a contract with a third party) to terminate any outstanding order, to withhold and / or suspend supplies or to reduce the purchasers credit limit. LDS Hire & Sales Ltd shall also be entitled, at their discretion, to receive payment of any and all monies in respect of goods supplied whether these monies would ordinarily be due for payment at that time or not. LDS Hire & Sales Ltd shall be entitled to charge the purchaser interest on the amount unpaid until payment in full is made and the purchaser will indemnify LDS Hire & Sales Ltd in respect of all costs incurred by LDS Hire & Sales Ltd in recovering payment, including the cost of instructing solicitors. In the event the purchaser tenders payment by cheques is subsequently returned by the purchaser’s bankers unpaid, the purchaser will also indemnify LDS Hire & Sales Ltd in respect of all resulting charges incurred by LDS Hire & Sales Ltd.

3. Prices-

4. Retention of title-

Although risk in goods supplied passes to the Purchaser on delivery, legal title in such goods shall not pass to the Purchaser until LDS Hire & Sales Ltd has received in clear funds the full payable price for such goods and all other goods supplied by LDS Hire & Sales Ltd to the Purchaser for which payment is then due. Until legal title passes, the purchase shall hold the goods as LDS Hire & Sales Ltd fiduciary agent and bailey and shall keep them properly stored, protected insured and identified as LDS Hire & Sales Ltd property, until that the purchaser is entitled to resell or use the goods in the ordinary course if its business but shall account to LDS Hire & Sales Ltd for their proceeds of sale and pending payment shall hold such proceeds on trust for LDS Hire & Sales Ltd absolutely. The purchaser’s right to resell or use the goods shall terminate automatically if a liquidator or (administrative) receiver or administrator of the purchaser is appointed or an order is made or a resolution is passed for the winding up of the purchaser. Until such time as legal title in the goods passes the purchaser LDS Hire & Sales Ltd may at any time require the purchaser, its liquidator, (administrative) receiver or administrator to return the goods and / or may re-posses the goods entering upon the premises of the purchaser of any third party where the goods are reasonable believed to be stored. In addition and without prejudice to any other right or remedy available to LDS Hire & Sales Ltd , if the purchaser is in breach of the payment terms or any of its obligations under this clause, LDS Hire & Sales Ltd shall be entitled to cancel the contract, suspend further deliveries, terminate any outstanding order with out incurring any liability what so ever as a consequence of this action.

5. Delivery-

• LDS Hire & Sales Ltd will endeavour to meet delivery dates quoted, if there are any circumstances what so ever prevent or delay delivery, LDS Hire & Sales Ltd shall not be bound to supply or make delivery of any goods ordered, nor shall it be liable for any damage or consequential loss or in any other way for failure to supply or delay in delivery when so prevented or

6. Cancellation

• No cancellation or variation of the whole or any part of the order by the customer is permitted except where expressly agreed in writing by a person authorised to sign on behalf of the LDS Hire & Sales Ltd .

7. Defective Goods

In the event that a defect in the goods is discovered by the customer and reported to LDS Hire & Sales Ltd in writing during a period of twenty eight days from the date of delivery of the goods, which defect was caused by faulty design or manufacture, LDS Hire & Sales Ltd will at its option either repair the goods or at its own expense replace any defective parts. All goods claimed to be defective be returned to LDS Hire & Sales Ltd by the customer at the customers own expense.
